For clarification I would like to express again in this letter our proposal to move the Y12 sales program for the Americas forward so that we can close the more than forty purchase offers that we have on hand and continue to take new orders, especially for the F model with the package freight companies who are waiting to see both Y12 models.
As you know our current customers are very concerned about the two unfinished items for full FAA certification in the United States, the completion of the importation procedures, and the passing of the conformity standards to qualify for use on the Part135 commercial certificate. Since the Y12E is built as a commuter aircraft it must of course qualify to the Part 135 standard, as will the F model after the type certificate is approved by the FAA.
Astral Aero has confidence that these aircraft will pass qualifications, because we understand the quality of workmanship and technology that Harbin has put into these aircraft, but our customers do not wish to take the risks should these aircraft not pass conformity quickly. Since these importation and conformity tests are normally done by the manufacturer, whether Airbus, Dassault, Bombardier, etc., we feel that Harbin should accept the responsibility for this process, but we will also participate ourselves directly in this responsibility to assist in the FAA procedures and paperwork.
Astral proposes to purchase, in conjunction with one or more of our clients or investors, two Y12E aircraft in standard delivery configuration, for $4.5 Million USD each, for delivery by the end of 2014. We will put up a refundable deposit of $500,000.00 per aircraft, subject to the aircraft passing the importation and conformity standards. Upon successful completion of the conformity and FAA acceptance we will close immediately on the balance of the transaction. Harbin will own the aircraft outright up until the successful completion and payment in full, when title would then be transferred, so there will be very little risk to Harbin. We realize there will be a price increase for future aircraft to be negotiated later.
Astral will pay the direct costs associated with the import and conformity standards to show our good faith. During the time of the testing we will also advertise and promote the Y12E and F to North American potential buyers so that we can continue to turn interest into firm sales.
We suggest that Harbin bring the two Y12Es to North America at the same time as the Y12F demonstrator for convenience. We would like to have the Y12F remain in the USA throughout 2015 where we will display the aircraft in front of millions of Americans at air shows. FedEx and UPS have both asked that we bring the aircraft to their home hubs so they can examine the suitability for their operations. FedEx have advised that their future requirement is for up to 140 twin engine aircraft for their freight operations so we are very anxious to show both the E and the F here.
Astral will provide a separate letter outlining the various events for the F model and how the tour can be organized with very little risk.

In order to effect this proposal we require the following within the next seven days please:
- Confirmation of the equipment list for the standard version of the Y12E to be delivered
- A Sales Contract for each aircraft to Astral as Buyer
- Confirmation of the final equipment list for the tourist version of the Y12E as ordered by Vision
- Pricing for the tourist version based on an order for at least ten and option for ten more
- A suggested delivery schedule for these tourist versions once deposit is in place
- Pricing for the Y12F model and standard equipment list with options
- Confirmation and acceptance of this proposal and availability of the Y12F for the 2015 North American Demonstration tour.
